International Chamber of Commerce (ICC) introduced in September 2011 the amendment to the Rules on arbitration.The amendment became effective on January 1st, 2012.The most of the changes may be qualified as of technical nature trying to make arbitration more effective and allowing more control over time and costs efficiency. Also many linquistic changes (gender neutral formulations, refinement of current provisions etc.) have been introduced, as well as changes of technical nature (making possible a full electronic communication etc.). Substantial changes relate mainly to requirements for independency and impartiality (new explicit requirement of impartiality), constitution of tribunals (enhanced competencies of the Court of Arbitration), consolidation of arbitrations, joinder of third parties to pending arbitrations etc. Also an institut “Emergency Arbitrator” has been incoporated into the Rules. Special competencies of the court have been introduced for state party arbitrations.

ZAHRADNÍKOVÁ, R.: APPELLATE PROCEDURE AFTER AMENDMENT OF THE CIVIL PROCEDURE CODE IN THE LIGHT OF THE SLOVAK, GERMAN AND FRENCH LEGISLATION.
The author discusses in the introduction the history of appellate adjustments in the Czech legislation. Then deals with new regulation under the Act No. 404/2012 Coll., which aims to eliminate the risk of unpredictable decisions, further to effective the appellate proceedings and to facilitate the function of standardizing case law of the Supreme Court. The only reason for extraordinary appeal will continue to to be an incorrect legal assessment of the matter in the courts of lower degrees. In other passages , the author compares the new Czech legislation appellate proceedings with the legal regulations of the Slovak, German and French, and discusses the advantages and disadvantages of the new legislation.

The authors present few thoughts on the EU Commission initiative leading to creation of the unified rules on international trade applicable inside the EU. Firstly it is presented a summary of the legislative works leading to the draft Regulation on the Common European Sales Law, which represents the first probe of the European legislators towards the unification of the law through creation of an autonomous ”28th regime” standing next to 27 MS national legal regimes. Authors generally ponder over the functionality of such solution, same as over the content of the proposed Regulation itself. Such thoughts cover practical issues of the application of the Regulation same as polemics, if the new Regulation could stand the test of the present international law and if, at the end, could satisfy its purpose of simplification of the intra EU sales law.

RABAN, P.: MANAGEMENT OF ANOTHER'S PROPERTY AND OF THE TRUST FUND
New valid Civil Code (law no. 89/2012 Coll.) brings some institutes that have not been regulated by the Czech law yet. One of them is the management of another’s property (sec. 1400 et seq.). In the first part, the author describes positive legislation of manager’s duties in simple management (assets maintenance) and full management (assets incresing). In the second part, the author deals with institute of trust fund (sec.1448 et seq.) that is completely new in the Czech law. Its legislation was taken from Quebeck Civil Code. In the conclusion author points to a new method of legislation of social relations in the new Civil Code, where social phenomena are seen as multidimensional formations and their legislation is at various locations of the law from different points of view, e.g. asset management and the contract of mandate (sec. 2430 et seq.), and the need to adapt other institutes of law to the existence of property rights without an owner (nsolvency law, execution law, tax law, cartel law etc.).

Further-more, the article notes tools that serve to ex ante prevent such petitions from being filed or ex post limit negative effects. Finally, the paper discusses available means of protection against meritless insolvency petitions and legislative reaction thereto.

Provisions of Slovak Commercial Code governing entitlement to sales commissions and its maturity give rise to some serious theoretical issues. In order to resolve contradictions, opinions of prominent Slovak jurists regarding the concept of legal claims can be helpful, especially some very remarkable works of professor Luby. By generalization of the acquired knowledge, opinions presented in the final chapter of this professional article can be drawn as a consequence. The proposed solution can call for a more broad-based professional discussion of these issues.

The activity of a public authority consisting in the storing, in a database, of data which undertakings are obliged to report on the basis of statutory obligations, in permitting interested persons to search for that data and/or in providing them with print-outs thereof does not constitute an economic activity, and that public authority is not, therefore, to be regarded, in the course of that activity, as an undertaking, within the meaning of Article 102 TFEU. The fact that those searches and/or that provision of print-outs are carried out in consideration for remuneration provided for by law and not determined, directly or indirectly, by the entity concerned, is not such as to alter the legal classification of that activity. In addition, when such a public authority prohibits any other use of the data thus collected and made available to the public, by relying upon the sui generis protection granted to it as maker of the database pursuant to Article 7 of Directive 96/9/EC of the European Parliament and of the Council of 11 March 1996 on the legal protection of databases, or upon any other intellectual property right, it also does not exercise an economic activity and is not therefore to be regarded, in the course of that activity, as an undertaking, within the meaning of Article 102 TFEU.

The principle of community of law and the principle of effective remedy provide standing to natural and legal entities in atypical situations. These principles of EU law have not been thoroughly analyzed as yet. Their application before courts may be at variance with some national law procedure. However, the principle of primacy of EU law requires Member States to apply these principles in full extent. We can expect that in a future, national rules will be amended in such way as to enable the application of these principles by national administrative bodies in the field of consumer protection.

Nařízení (ES) č. 44/2001 – příslušnost a uznávání a výkon soudních rozhodnutí v občanských a obchodních věcech – vlastní směnka – směnečné rukojemství (s. 151)

Article 15(1) of Council Regulation (EC) No 44/2001 of 22 December 2000 on jurisdiction and the recognition and enforcement of judgments in civil and commercial matters must be interpreted as meaning that a natural person with close professional links to a company, such as its managing director or majority shareholder, cannot be considered to be a consumer within the meaning of that provision when he gives an aval on a promissory note issued in order to guarantee the obligations of that company under a contract for the grant of credit.
Therefore, that provision does not apply for the purposes of determining the court having jurisdiction over judicial proceedings by which the payee of a promissory note, established in one Member State, brings claims under that note, which was incomplete at the date of its signature and was subsequently completed by the payee, against the giver of the aval, domiciled in another Member State.
Article 5(1)(a) of Regulation No 44/2001 applies for the purposes of determining the court having jurisdiction over judicial proceedings by which the payee of a promissory note, established in one Member State, brings claims under that note, which was incomplete at the date of its signature and was subsequently completed by the payee, against the giver of the aval, domiciled in another Member State.

Contractual relations in the construction industry represent a specific area of application of the law and claims and dispute resolution among the world's most frequently discusse lega issues subsets of construction projects.
The athor discussed the possibility of contractual arrangements leading to the demise of the claims. Its conclusions atre based on analysis of editing the new Civid Code and the World FIDIC experience.
He concludes tah contractual arrangements leading to the cessation of the right are permissible. But it is always necessary to take into account the particular cicumstances and evaluate each case separately, especially in the context of morality and the general principles and statutory compensation arrangement, and unjust enrichment.

Recdently attracted media response information that has from 1 First 2014 in relationto the effect of the new Civil Code of the Czech legislation disappear institute a two-year statutory warranty on consumer goods. Seller has thus legally liable for 24 months only for defects existing at the time of aceptance (conglict with the contract) with the fact after six months the buyer will be obliged to prove the claim of non-compliance of goods with the contract at the time of delivery.
Author concludes tha a two-year warranty for defects arising after receipt of goods with effect of the new Civil Code in its current wording doers not stop there. It turns out that even though the rules relating to sales of goods in the store did not see in the new Civil Code in comparison to the current situation as a whole is more fundamental substantive changes, will face new problems of interpretation related to the change experienced legal terminology. Certain problems can be expected in the context of other problematic individual provisions relating to the purchase agreement.

The article deals with the financial guarantee as regulated in the new Czech Civil Code (Act No. 879/2012 Coll.). It is presented as a brief outline. Drawing a comparison with the corresponding matter of the Czech Commercial Code (Ac No. 513/1991 Coll., used term bank guarantee), it points out some changes (especially the different legal expression of demarcation the providers of bank/financial guaranteee) and finds the new provisions on financial guatentee as a result of the carefully revision approach. In spite of this the new provisions will propably not be question-free and will ask some detailed analyses.

The author deals with the consumer protection during payment and securing by bill of exchange (or promissory) governed by former Sec. 12 of the Act on Consumer Credits. If consumer pays the consumer credit by the means of a bill of exchange or cheque, or if the payment is secured by them, the creditor is obliged to act in such a way to keep all the rights of the consumer arising from the agreement on consumer credit. Practical consumer protection requires ”new approach” to the bill of exchange and promissory. Most recent decisions of Czech courts bring surprising conclusions to the topic when prohibiting the issue of a bill of exchange drawn to the order of the creditor. The article provides analysis of the decisions, their implications and the reaction to them.

The paper concerns different philosophy and historical backgrounds of two legal systems – the Anglo-Saxon copyright and the continental system of author´s rights. Based on the analysis of the influence of international treaties, it concludes that elementary principles do not vary significantly among different countries. Individual national regimes are adapted to the requirements of minimum standard of protection as provided for in international treaties. Both systems have mirrored in the national law of different states and thus there is no pure copyright or author´s rights national law any more. The diversity of national rules should be lowered as much as possible in order to reduce transactions costs for authors and users. The requirement of formality should be (re)introduced for the same purpose.

Study aims on the question of public benefit. Status of public benefit is one of the acts which had supplied new Civil code. Article 4(4)(g) of Directive 2008/95/EC of the European Parliament and of the Council of 22 October 2008 to approximate the laws of the Member States relating to trade marks must be interpreted as meaning that the concept of ‘bad faith’, within the meaning of that provision, is an autonomous concept of European Union law which must be given a uniform interpretation in the European Union.
II. Article 4(4)(g) of Directive 2008/95 must be interpreted as meaning that, in order to permit the conclusion that the person making the application for registration of a trade mark is acting in bad faith within the meaning of that provision, it is necessary to take into consideration all the relevant factors specific to the particular case which pertained at the time of filing the application for registration. The fact that the person making that application knows or should know that a third party is using a mark abroad at the time of filing his application which is liable to be confused with the mark whose registration has been applied for is not sufficient, in itself, to permit the conclusion that the person making that application is acting in bad faith within the meaning of that provision.
III. Article 4(4)(g) of Directive 2008/95 must be interpreted as meaning that it does not allow Member States to introduce a system of specific protection of foreign marks which differs from the system established by that provision and which is based on the fact that the person making the application for registration of a mark knew or should have known of a foreign mark.

The article examines the new legal regulation of ”compensation” as one of the instruments of termination of obligation. The author analyses the prerequisites of compensation and their system. Detailed analysis is focused mainly on the requirement articulated in § 1987/2 of the civil code, which demands the claim to be ”sure and certain”. The legal provision is relatively vague is this regard and it is a new and unknown part of the regulation. The author aims to offer some comments and remarks concerning the proper interpretation of this provision.

VÍTEK, J.: NOMINATIVE SHARES IN THE NEW CIVIL CODE
Submitted article refers to the previous article presented in Obchodní právo journal, No. 12/2012, titled “Legal regulation of securities in the new private law”. While the previous text focuses mainly on the general introduction of legal regulation, effective in Czech Republic as of the 1st of January 2014, this article focuses in detail on one of the problematic parts in the new legal regulation - the legal definition of securities contained in section 514 of New Civil Code. According to this new securities definition, in connection with other provisions of the New Civil Code, it is possible to come to the conclusion, that nominative shares shall no longer be considered as securities. This article contains author´s opinion, which based on a legal argumentation, in the end comes to the conclusion that nominative shares, despite the New Civil Code securities definition, are and shall be viewed as securities in the light of the New Civil Code.
