Although the leniency has been applied as a soft law in the Czech Republic since 2001, it was codified ten years later. A part of the codification are the rules setting down the conditions of the office for protection of competition files inspection while applying the leniency (declared is a necessity of national legislation reflecting the ruling of Court of Justice of the European Union in the Pfleiderer case). The national solution of the troubles arising between public and private enforcement of the competition law is, however, only halfway. The aim of the paper is to scan the legislation of competition office files inspection when the leniency is being applied, and to mark up the potential problematic issues.

The liability of a carrier is a crucial point of The Convention on the Contract for the International Carriage of Goods by Road (CMR). However, sometimes it is not easy to define the time period during which the loss of the goods or damage to the goods can invoke the liability of the carrier (Art. 17 par. 1 CMR). The problems usually occure during loanding, delivery and discharge. This article provides some rules, which can help to establish the beginning and the end of the carriage and in the same time to define the period during which the damage to goods and its loss can invoke the liability of the carrier.

Author of the article examines the question of whether to regulate lobbying by special law, or other lawful means, or self-regulation. The author believes that strict regulation of lobbying through legislation does not bring the desired effects. Public Procurement Act (No. 137/2006 Coll.; hereinafter ”PPA”) defines sub-contractor as a person through which the economic operator is to perform a certain proportion of a public contract or which is to render certain things or rights to the economic operator to perform the public contract (Par. 17 letter i) PPA). According to the author´s opinion, Public Procurement Act divides sub-contractors into sub-contractors who help to prove qualification and sub-contractors who fulfil part of contract. The sub-contractor networks are considered negatively. The Amendments to the PPA bring new obligations to visualized them (Amendment No. 179/2010 Coll. or 55/2012 Coll.) and de lege ferenda there should be more precise regulation about sub-contractors and sub-sub-contractors and as well about cartels and concerns.

POHL, T.: AMENDMENT TO THE CIVIL PROCEDURE CODE AND THE ENFORCEMENT REGULATIONS IN RELATION TO THE COMMON PROPERTY OF SPOUSES
Amendments to Rules of Civil Procedure and Enforcement Code from 1 January 2014 affected the enforcement (execution) relating to assets in the common property of spouses. Likewise, the new Civil Code allows the debt of one of the spouses was satisfying not only the exclusive property of the husband to whom the debt incurred prior to the marriage, but even then the joint property of spouses.
The author in his article explains in detail the cases where it is now possible to capture the joint assets for debt that was only one of the spouses. First focuses on the interpretation of marital property, then the cases in which under the new legislation affected by foreclosures.
In the end concluses, that negative aspect of the new legislation is the result of debts incurred before marriage by one spouse to the other spouse. How will this matter wiil be shown to new case law.

Article 3(a) of Regulation (EC) No 469/2009 of the European Parliament and of the Council of 6 May 2009 concerning the supplementary protection certificate for medicinal products must be interpreted as meaning that, in order for an active ingredient to be regarded as ‘protected by a basic patent in force’ within the meaning of that provision, it is not necessary for the active ingredient to be identified in the claims of the patent by a structural formula. Where the active ingredient is covered by a functional formula in the claims of a patent issued by the European Patents Office, Article 3(a) of that regulation does not, in principle, preclude the grant of a supplementary protection certificate for that active ingredient, on condition that it is possible to reach the conclusion on the basis of those claims, interpreted inter alia in the light of the description of the invention, as required by Article 69 of the Convention on the Grant of European Patents and the Protocol on the interpretation of that provision, that the claims relate, implicitly but necessarily and specifically, to the active ingredient in question, which is a matter to be determined by the referring court.

ŠTENGLOVÁ, I.: HOW HAS THE LEGAL REGULATIONS OF WORK CONTRACT CHANGED
Legal regulations of work contract in the new Civil Code may be based on modifications to the Code of business, but already, albeit in a relatively small scale, the proportion of adjustments from the previous Civil Code and also brings some significant news, especially for the consequences of defective performance. Some other variations then follows the new concept of obligations and also from the general treatment of commitments.
In particular chapters, the author focuses on the changes in the conception of the work, the changes in relation to the price of the work, improvements to performance of the work, as well as in the organization of the ownership of the object of work, changes relating to the execution of the work, self-help sales, changes in the regulation of rights of defective filling in forms and quality guarantee.
The author concludes that a more accurate interpretation of the will in future depend on the practice and also on the court case.

POSPÍŠIL, M.: LEGAL REGULATION OF BUSINESS NAMES – A BRIEF COMPARISON WITH THE PREVIOUS LEGISLATION
This paper focuses on the comparison of business names legislation under the new legislation in the new Civil Code with the legislation in effect until the end of 2013. It can be concluded from the article that the legislation has not changed significantly and the application of the new legislation would not cause any practical difficulties. In some respects, the regulation was even improved, such as e.g. now there is the possibility of protecting the name of the entrepreneur already when intervention in the name is impending. A weakness is only that there is not any requirement now to distinguish a business firm by a tag identifying what is the legal form of the legal entity. Prohibition of interchangeability and deception under § 424 of the new Civil Code does not solve this problem.

Article 12(a) of Directive 95/46/EC of the European Parliament and of the Council of 24 October 1995 on the protection of individuals with regard to the processing of personal data and on the free movement of such data must be interpreted as not precluding the levying of fees in respect of the communication of personal data by a public authority.
II. Article 12(a) of Directive 95/46 must be interpreted as meaning that, in order to ensure that fees levied when the right to access personal data is exercised are not excessive for the purposes of that provision, the level of those fees must not exceed the cost of communicating such data. It is for the national court to carry out any verifications necessary, having regard to the circumstances of the case.

A whole range of claims occur during the implementation of large construction projects. Contracts for work on large construction projects regularly deal with claims resulting from a delay, be this a delay resulting from a breach of the contract or as a consequence of a force majeure. Such claims are usually based on late site handover, design errors or unforeseeable physical conditions, all of which lead to disruption in construction and prolongation of the time for completion. These claims are often complex and difficult to prove. The most common claims of this type are constructive acceleration claims, site overhead claims, headquarters overhead claims, disruption claims and global claims. In comparison to the Czech Republic more developed countries already benefit from established mechanisms to settle these complex claims as a result of long-standing jurisprudence. This article provides a well balanced examination of these issues which is supported by relevant and recent case law from various jurisdictions as well as personal experience of local lawyers.

In terms of liability of entrepreneurs the issues concern particularly the manner of incorporation of liability into the new Civil Code as well as the characteristics of general liability and special types of liability. Last but not least, this raises questions as to the mutual relations between the special types of liability and their relation to liability resulting from different types of contracts.

PAULY, J.: RECODIFICATION OF A FIDUCIARY INCLUDING INVESTMENT INSTRUMENTS
The management of another´s property, including management of the trust fund, is quite a new institute in the Czech Law. It has been introduced by the New Civil Code (law No. 89/2012 Coll.). The provisions concerning this institute may be sometimes found in contra-diction with other parts of the Civil Code. Very often they are also in contradiction with other Czech laws. Author tries to explane relation between them and the services concerning investment instruments (such as investment securities etc.). The basic question in this connection is, whether manager of another´s property containing investment instruments need the licence of the Czech National Bank. According to the author´s oppinion such a licence, at least in some cases, is not necessary. However the law itself should clarify this question.

Primary treatment of financial assistance as the law is primarily in Act No. 90/2012 Coll., On commercial companies and cooperatives (hereinafter referred to as ”ZOK”) and Act No. 87/1995 Coll., The credit unions and certain measures related thereto and the addition of the Czech National Council No. 586/1992 Coll., the Income Tax Act, as amended (the ”Act on the barrel”).
The aim of this paper is to bring readers institute of financial assistance. The first part presents the genesis and regulation of this phenomenon in the EC/EU law, the accent is put on secondary EU law, especially then the relevant directives and regulations.

Upon adoption of the Business Corporations Act quite fundamental changes in the field of regulation of business companies have occurred. One of the area that prides itself on a completely new look is the area of a joint stock company corporate governance. Business Corporations Act uses, to some extent, a model known from regulation of the European Company and apart from the traditional dualistic model of governance of a joint stock company (Board of Directors and Supervisory Board) it enables that shareholders (or founders) of a joint stock company may also choose a monistic system (Governing Board and Statutory Director) which, among other things, is perceived as a courtesy to foreign investors who are accustomed to the monism provided for by their legal orders. However, the Czech legislator has treated the monistic conception of internal structure of a joint stock company somewhat differently (compared with foreign laws) stating that in addition to the general meeting two other bodies must be formed in this structure. Such atypical solution will bring many interpretation problems for the business practice, as it is not always clear, for example, what matters fall within the powers of each body.

Consumers is a natural person who does not carry out business activities.
The author also points to problems related to the existence of arbitration clauses negotiated in consumer contracts, which cannot be automatically regarded as unacceptable contracts terms and conditions. In arbitration proceedings where the consumer is one party, in cases involving an action for the annulment of an arbitration award adue account is also taken of the substantive nature of the breach of consumer protection rules. Consumer protection is inherent also in the enforcement proceedings because the consumer may apply for the discontinuance of the enforcement proceedings even without bringing an action for the annulment of the arbitration award.

CENTURY LEGISLATION
Consumer protection is a very current topic. However, in Czech lands the roots of this institution can be traced back to the legislation from the Middle Ages. One important piece of legislation, whose provisions addressed the protection of consumers, was the Code of City Rights in the Czech Kingdom from Pavel Kristián of Koldín. The Code was based on the legal practice in Czech cities, but also reflected foreign influences, especially Roman law and a number of provisions copied from the rights of the nobility. Besides the provisions related to the protection of consumers, which was the main topic of this work with a brief historical excursion, the Code anchored in legislation many provisions related to the municipal administration, judiciary system, criminal law, property law, contract law and in rem jurisdiction.

Regulation (EC) No 1896/2006 of the European Parliament and of the Council of 12 December 2006 creating a European order for payment procedure must be interpreted as meaning that the procedures laid down in Articles 16 to 20 thereof are not applicable where it appears that a European order for payment has not been served in a manner consistent with the minimum standards laid down in Articles 13 to 15 of that regulation.
Where it is only after a European order for payment has been declared enforceable that such an irregularity is exposed, the defendant must have the opportunity to raise that irregularity, which, if it is duly established, will invalidate the declaration of enforceability.

Conclusion of contracts for the imple-mentation of the new procurement directives under the authorities are in many ways changed, as indicated above, although the nature and procedures in the existing procurement procedures will be similar to or often the same. After implementation of the new procurement directives should be less formality in the context of contracts and amendments thereto. However, it will depend on how the implementation will occur and how much Czech Republic accedes to the so-called “gold plating” procurement directives. According to the author, the Czech Republic, as they do in other states should establish a legal obligation to use the procurement directives and establish a national institutes for their application. It should not access the stricter rules than those laid down procurement directives in their implementation. Historically, this was not always the case and according to the author, it was one of the reasons for the grant drawdown of EU funds. In that context, it is necessary to realize that the law is prepared for those who want to violate it, respectively. it at certain subjects automatically assumes or for those who wish to follow. The articulated version of the new Public Procurement Act has been under preparation at present. The final result will be known in 2016. Possible to recommend that the restrictions against the procurement directives to a minimum. Some changes will be reflected in the forthcoming amendment with effect from January1st 2015.

As a conclusion, division of proceedings in matters corporations is not clear and incorporation of some proceedings under the regulation in Act on special civil procedure is not in compliance with the prevailing opinion on nature of the particular proceedings.

Article 1(1) and (3) and the last subparagraph of Article 2a(2) of Council Directive 92/13/EEC of 25 February 1992 coordinating the laws, regulations and administrative provisions relating to the application of Community rules on the procurement procedures of entities operating in the water, energy, transport and telecommunications sectors, as amended by Directive 2007/66/EC of the European Parliament and of the Council of 11 December 2007, must be interpreted as meaning that the time allowed for bringing an action for the annulment of the decision awarding a contract starts to run again where the contracting authority adopts a new decision, after the award decision has been adopted but before that contract is signed, which may affect the lawfulness of that award decision. That period starts to run from the communication of the earlier decision to the tenderers or, in the absence thereof, from when they became aware of that decision.
Where a tenderer becomes aware, after the expiry of the period for bringing an action laid down by national legislation, of an irregularity allegedly committed before the award decision was adopted, an action for the annulment of that decision may be brought only within that period, unless such a right is explicitly provided for by national law in accordance with Union law.
