The concept of time – particularly in terms of time for completion is one of the most important legal and managerial aspects in a construction project and ranks among the top priorities of construction project participants. Given the nature of the construction industry, some type of time related issues such as delay and disruption are practically inevitable. However, well prepared project participants understand these risks and good contracts provide tools for efficient time management to secure maximum probability of project success. This article examines the following issues: time programme, ownership of floats, extensions of time for completion, concurrent delay and the respective FIDIC form provisions. This discussion takes place in the context of the SCL Protocol – currently the most authoritative code of practice on these issues in the industry and in the light of recent rulings adopted by Czech and international courts and arbitration tribunals.

LAZÍKOVÁ, J.: COMMERCIAL DIRECTIVES AND ITS TRANSPOSITION INTO THE SLOVAK LEGAL ORDER
The idea of the internal market is one of the main objectives of the European Union. However, the freedoms of the internal market are not liberalised by the same way. In spite of efforts to harmonise the company law from the ’60s of the 20th century the free movement of the legal entities is still the less liberalised freedom of the EU internal market. This freedom is developed by the adoption of the so-called commercial directives which tries to harmonise the legal regulations of the EU member states in the field of the company law. However, there is not ever the harmony between the results of a directive transposition and the objective which is followed by the rules of a directive. This paper analyses some of the problems related to the directive transposition into the Slovak legal order and to put the question if the Slovak legal rules are in harmony with the objectives and requirements of the EU commercial directives.

KLIMEŠ, F.: BUSINESS ACCORDING TO THE RECENT LEGAL ADJUSTMENT IN RETROSPECT
The article analyzes the legislative regulation of business in Czechoslovakia during the period from the end of the 80s, when there was a change in the social-economic system, to the present.
The legal regime of business in that period changed. This will change also in the near future. Private law in the Czech Republic was funda-mentally recodificated particularly with the passing of the new Civil Code (Act No. 89/2012 Coll.) and Business Corporations Act (Act No. 90/2012 Coll.). The effectiveness of these regulations is valid from 1. 1. 2014.
New regulation cancels the Commercial Code, that defined business and businessmen. Entrepreneurship and associated institutes is regulated in the the new Civil Code.
The article is up to date, because it contains the interpretation of the previous and current adjustment.

According to the new civil code is the work done if it is completed and handed over. This is a change from the past legislation which expressly stated ”the proper completion of the works”. The new legislation allows it to complete to be considered and the work, which has, in particular, defects and backlog. They, however, shall not prevent the work could serve its purpose. The author in the article in detail discusses the new legislation and concludes, that the definitive interpretative problems of the law can bring to the decision-making practice of the higher courts.

I. Article 2(b) and (d) of Directive 95/46/EC of the European Parliament and of the Council of 24 October 1995 on the protection of individuals with regard to the processing of personal data and on the free movement of such data are to be interpreted as meaning that, first, the activity of a search engine consisting in finding information published or placed on the internet by third parties, indexing it automatically, storing it temporarily and, finally, making it available to internet users according to a particular order of preference must be classified as ‘processing of personal data’ within the meaning of Article 2(b) when that information contains personal data and, second, the operator of the search engine must be regarded as the ‘controller’ in respect of that processing, within the meaning of Article 2(d).
II. Article 4(1)(a) of Directive 95/46 is to be interpreted as meaning that processing of personal data is carried out in the context of the activities of an establishment of the controller on the territory of a Member State, within the meaning of that provision, when the operator of a search engine sets up in a Member State a branch or subsidiary which is intended to promote and sell advertising space offered by that engine and which orientates its activity towards the inhabitants of that Member State.
III. Article 12(b) and subparagraph (a) of the first paragraph of Article 14 of Directive 95/46 are to be interpreted as meaning that, in order to comply with the rights laid down in those provisions and in so far as the conditions laid down by those provisions are in fact satisfied, the operator of a search engine is obliged to remove from the list of results displayed following a search made on the basis of a person’s name links to web pages, published by third parties and containing information relating to that person, also in a case where that name or information is not erased beforehand or simultaneously from those web pages, and even, as the case may be, when its publication in itself on those pages is lawful.
IV. Article 12(b) and subparagraph (a) of the first paragraph of Article 14 of Directive 95/46 are to be interpreted as meaning that, when appraising the conditions for the application of those provisions, it should inter alia be examined whether the data subject has a right that the information in question relating to him personally should, at this point in time, no longer be linked to his name by a list of results displayed following a search made on the basis of his name, without it being necessary in order to find such a right that the inclusion of the information in question in that list causes prejudice to the data subject. As the data subject may, in the light of his fundamental rights under Articles 7 and 8 of the Charter, request that the information in question no longer be made available to the general public on account of its inclusion in such a list of results, those rights override, as a rule, not only the economic interest of the operator of the search engine but also the interest of the general public in having access to that information upon a search relating to the data subject’s name. However, that would not be the case if it appeared, for particular reasons, such as the role played by the data subject in public life, that the interference with his fundamental rights is justified by the preponderant interest of the general public in having, on account of its inclusion in the list of results, access to the information in question.

The author of the article describes the changes that happen to the amendment to the act on investment incentives. For private investors are the investment incentives provided by the state, a source, and from the perspective of the private investor has the amendment to the act on investment incentives out of existence. Act no 84/2015 Coll. to improve business conditions. The expansion of projects supported by other types of center of strategic services and technology centres (and the reduction of requirements for the creation of a minimum number of jobs) should according to the government of the Czech Republic as the presenter of the law in the Czech Republic to develop investments with higher added value, such as research and development centers. The amendment abolished also the condition of co-financing of the investment from their own resources.

MAZANEC, L., SEKNIČKA, P.: INITIAL PUBLIC OFFERING AND THE ROLE OF PROSPECTUS IN THIS PROCESS
The purpose of this article is to introduce the process of initial public offering in the Czech Republic. Since this is very complex and wide-ranging issue, the aspects related to the realisation phase of the initial public offering in the law of capital markets will be addressed. Specifically, the regulation related to the process of the public offering of investment securities in general and some specifics regarding the offering of shares will be analysed, as well as the regulation of the prospectus of securities. The attention will be paid to both, the relevant European Union regulation and the relevant regulation in the Czech Republic. On the contrary, the article will not focus on the regulation of the admission of shares to trading on a public organised market, although this aspect is also closely associated with the initial public offering process. In the last part of the article, the perspectives of the initial public offering regulation will be briefly analysed and assessed.

The article deals with regulation of specific modes of contract in Arts. 426 and 428 to 429.4 of the Civil code of the Russian Federation, as modified or amended by the Federal Act No. 42-FZ of 8 March 2015. Articles 426, 428 and 429 as amended regulate contracts for public services (publichnye dogovory), adhesive contracts (dogovory prisoedineniya), and agreements to make a contract (predvaritel’nye dogovory). New Articles 429.1 to 429.4 regulate framework contracts (ramochnye dogovory), two modes of option contracts (soglasheniya o predostavlenii opciona na zakljuchenie dogovora as the first one, opcionnye dogovory as the second one), and abonnement contracts (abonentskie dogovory). All these specific contractual figures correspond to tasks triggered by the current contracting practice. This article explains their notion, including very brief comparison with the Czech law.

The right of shareholder of a limited company to get information about the status of the company is one of the basic instruments which may shareholders regardless of the size of their shares to control the conduct of the company and its governing bodies. In my article, I deal with changes in the concept of access to information of shareholders in connection with the recodification of private law, especially in relation to change the understanding of the concept of trade secret.

Global certificate is a seemingly clear legal institute. In fact, it causes some questions in law of securities. These are related to the concept and purpose of the global certificate, the range of securities which can be replaced with the global certificate, the people whose will is decisive during the global certificate issuance, requirements of a valid issuance of the global certificate and a relationship between the global certificate and factual dematerialization of securities. The author gives answers for these questions mostly on the basis of the theoretical approach. However, at the same time, he shows some imperfections which are apparent in the actual Czech law.

BUREŠOVÁ, K.: MODIFICATIONS OF CONTRACTS IN THE POINT OF VIEW THE NEW LEGISLATION EU PROCUREMENT DIRECTIVES
This article describes changes to be brought by new legislation due to the harmonization of the new procurement directives into the Chech law order. Changes described in the article concerns modification of contracts during term. The proposal of the new Chech legislation almost copies the EU procurement directives. The new law may bring less formality processes to make needed changes and modifications of the contracts.

Article 1(1) of Regulation (EC) No 1393/2007 of the European Parliament and of the Council of 13 November 2007 on the service in the Member States of judicial and extrajudicial documents in civil or commercial matters (service of documents), and repealing Council Regulation (EC) No 1348/2000. must be interpreted as meaning that legal actions for compensation for disturbance of ownership and property rights, contractual performance and damages, such as those at issue in the main proceedings, brought by private persons who are holders of government bonds against the issuing State, fall within the scope of that regulation in so far as it does not appear that they are manifestly outside the concept of civil or commercial matters.

KOTÁSEK, J.: CONFLICTS OF BUSINESS CONDITIONS AND THEIR SOLUTIONS
This article reviews ”battle of the forms” issue arising when contracting parties submit conflicting terms to each other in attempt to form a contract; and how courts in different jurisdictions have resolved issues arising from this. The ”battle of the forms” is widely recognized to be among the most difficult problems doctrine to resolve. The author focuses on the knock-out rule adopted in the Czech Civil Code. Under the knock-out rule, the terms on which the forms do not agree cancel each other out and are dropped from the contract; contract is concluded on the basis of standard terms which are not in conflict. The author focuses on selected issues connected to the application of this rule. The author discusses i. a. whether it is possible to consider terms as conflicting and how to fill in the gap arising after the application of the knock-out rule.

Technical specifications define the subject-matter of a public contract and shall not be defined in such a manner to give certain economic operators competitive advantage or create unjustified obstacles to competition. Because of this reason the article analyzes the issue of technical specifications and case law with the aim to answer the question, if a contracting body may determine technical specifications according to her/his needs.

Article 20(2) of Regulation (EC) No 1896/2006 of the European Parliament and of the Council of 12 December 2006 creating a European order for payment procedure, as amended by Commission Regulation (EU) No 936/2012 of 4 October 2012, must be interpreted as precluding, in circumstances such as those at issue in the main proceedings, a defendant on whom a European order for payment has been served in accordance with that regulation from being entitled to apply for a review of that order by claiming that the court of origin incorrectly held that it had jurisdiction on the basis of allegedly false information provided by the claimant in the application form.

Article 23(2) of Directive 2004/18/EC of the European Parliament and of the Council of 31 March 2004 on the coordination of procedures for the award of public works contracts, public supply contracts and public service contracts precludes a requirement, such as that at issue in the main proceedings, expressed as a technical specification in public procurement notices relating to the provision of health services, whereby the medical services that are the subject of the calls for tenders must be provided by private hospital establishments situated exclusively within a given municipality, which is not necessarily that in which the patients concerned by those services reside, where that requirement involves the automatic exclusion of tenderers who cannot provide those services in such an establishment situated within that municipality but who satisfy all the other conditions of those calls for tenders.

He focuses on the situation in the case of joint property of spouses, and cases where it is affected by the property of both spouses, or only one of them. Furthermore, he discusses possible ways of execution. He emphasizes that in addition to the procedural rules at issue needed to see especially its substantive rules.

NEJEZCHLEB, K.: MINORITY SHAREHOLDING FROM THE PERSPECTIVE OF COMPETITION
The European Commission thinks about widening its power regarding merger control. The planned changes should enable it to review acquiring of minority shares in other undertaking without gaining so called excessive influence. The reason is that constitution of such structural links might according to the economic theory and also some practical experience in very specific circumstances significantly impede effective competition and therefore lead in fact to same results as mergers that should not be allowed. Under current merger legislation the European Commission cannot deal with structural links based on minority shareholding effectively. The question is if such new power is really necessary and how should be eventually implemented.

MAREK, K, JANKU, M.: THE PROCESS OF CONCLUDING CONTRACTS ACCORDING TO THE CIVIL CODE IN THE CONTEXT OF THE PRINCIPLES OF EUROPEAN CONTRACT LAW
The authors of the article reflects on the conclusion of contracts under the new Civil Code. Emphasize that a precondition for the successful implementation and application of the law is also a qualified contracting (clear, understandable, user-specific) and the substantiation during the performance of the contract, which is in the options of individuals. Of decisive importance has the choice of contractual partner and the appropriate choice of ensure instruments The Civil Code, inter alia, inspired the international conventions and national adaptations in the context of other countries and their experience. The authors therefore examined the possibility of applying some of the principles of european contract law. Mention the so-called Common frame of reference, or the Academic common reference framework (the“DFCR“), which is a major european output on the way to further harmonisation of these issues. Then, in 1995, issued the so-called the Principles on European Contract Law (the „PECL“). The authors in the article discusses the different provisions of the Civil Code relating to contracts and show the possibility of use of the above mentioned rules.

Immobilized securities are sometimes interconnected with book-entred securities. It is not correct. They are a specific legal institute and rouse specific questions. These are related especially to the concept, essence and purpose of immobilized securities, the range of securities which can be immobilized, the persons whose will is decisive for immobilization, the potential extent of immobilization, the persons which are entitled by law to register immobilized securiries and the termination of immobilization. The author gives answers for these questions particularly on the basis of the theoretical approach. Nevertheless, at the same time, he presents some problems which are apparent in the actual Czech law in this connection.
