One of the key customers for the business sector are public purchasers who demand a substantial part of supplies, services and construction work carried out by entrepreneurs. In construction, the share of public investment is crucial. In order to apply for an entrepreneur in the position of a supplier of a public contract must comply with conditions in public procurement authority determines, on the basis of the rules contained in the legislation on public procurement. The aim of this article is to evaluate these rules compared with the current rules and assess whether the new public procurement law, which the Government of the Czech Republic presented at the end of October 2015 to the Chamber of Deputies in the form of entirely new draft law on public procurement.

I. Directive 1999/44/EC of the European Parliament and of the Council of 25 May 1999 on certain aspects of the sale of consumer goods and associated guarantees must be interpreted as meaning that a national court before which an action relating to a contract which may be covered by that directive has been brought, is required to determine whether the purchaser may be classified as a consumer within the meaning of that directive, even if the purchaser has not relied on that status, as soon as that court has at its disposal the matters of law and of fact that are necessary for that purpose or may have them at its disposal simply by making a request for clarification.
II. Article 5(3) of Directive 1999/44 must be interpreted as meaning that it must be regarded as a provision of equal standing to a national rule which ranks, within the domestic legal system, as a rule of public policy and that the national court must of its own motion apply any provision which transposes it into domestic law.
III. Article 5(2) of Directive 1999/44 must be interpreted as not precluding a national rule which provides that the consumer, in order to benefit from the rights which he derives from that directive, must inform the seller of the lack of conformity in good time, provided that that consumer has a period of not less than two months from the date on which he detected that lack of conformity to give that notification, that the notification to be given relates only to the existence of that lack of conformity and that it is not subject to rules of evidence which would make it impossible or excessively difficult for the consumer to exercise his rights.
IV. Article 5(3) of Directive 1999/44 must be interpreted as meaning that the rule that the lack of conformity is presumed to have existed at the time of delivery of the goods
– applies if the consumer furnishes evidence that the goods sold are not in conformity with the contract and that the lack of conformity in question became apparent, that is to say, became physically apparent, within six months of delivery of the goods. The consumer is not required to prove the cause of that lack of conformity or to establish that its origin is attributable to the seller;
– may be discounted only if the seller proves to the requisite legal standard that the cause or origin of that lack of conformity lies in circumstances which arose after the delivery of the goods.

The new Act no. 89/2012 Coll., Civil Code (the „CC“), brought, among others, a new legislation, of statutes of an association of owners of units (hereinafter „association“). The actual issue of the statutes is governed by
§ 1200 of the CC.
The Civil Code requires that each association adapts their statutes to the new regulations within three years since the effective date of the Civil Code, i.e. January the 1st 2017. But if some of the provisions of the statutes contravenes the new law, expires its validity on January the 1st 2014.
It is recommended to change the statutes at a nearby assembly as far as the Civil Code introduces a number of innovations into the life of associations of owners of units. These novelties are possible to use only under the condition that they will be regulated in the statutes (e.g. voting off assembly).

Article 101(1) TFEU must be interpreted as meaning that, where the administrator of an information system, intended to enable travel agencies to sell travel packages on their websites using a uniform booking method, sends to those economic operators, via a personal electronic mailbox, a message informing them that the discounts on products sold through that system will henceforth be capped and, following the dissemination of that message, the system in question undergoes the technical modifications necessary to implement that measure, those economic operators may — if they were aware of that message — be presumed to have participated in a concerted practice within the meaning of that provision, unless they publicly distanced themselves from that practice, reported it to the administrative authorities or adduce other evidence to rebut that presumption, such as evidence of the systematic application of a discount exceeding the cap in question.
It is for the referring court to examine — on the basis of the national rules governing the assessment of evidence and the standard of proof — whether, in view of all the circumstances before it, the dispatch of a message, such as that at issue in the main proceedings, may constitute sufficient evidence to establish that the addressees of that message were aware of its content. The presumption of innocence precludes the referring court from considering that the mere dispatch of that message constitutes sufficient evidence to establish that its addressees ought to have been aware of its content.

BEJČEK, J.: UNCLEAR CLAUSES IN COMMERCIAL CONTRACTS
Many contracts are based on guides and patterns with standardized content. These models are often copied from other areas of legal culture; they may “look” and demonstrate good general knowledege of the proposer. On the other side, using those guides is connected with an at least two-pronged danger. First, contracts may refer to institutes and solutions that are unknown to our law. Second, the content of these solutions itself may pose an adventi-tious substance both for the parties and for the courts. The interpretation thereof in accordance with the genuine will of the parties may be difficult. Some of these legal borrowings may adversely affect the validity of the contract and the applicability of many of its provisions.
The article discerns two kinds of these parts of contracts, namely contractual clausues and unilateral statements. Special attention is devoted to severability clauses.
Though many clauses and statements may contribute to a better risk allocation, some of them are able to cause more problems than to solve. Therefore, extremely cautious and careful approach to these provisions is to be recommended.

The Act No. 89/2012 Coll., The Civil Code, which recodified private law in The Czech Republic, repealed many previous legislation, including The Act No. 513/1991 Coll., The Commercial Code, as amended by following regulations, which modified business relations. Thus the author deals with the question of what is the concept and legislation of business relations after January 1, 2014, when the recodification entered into force. The author also analyzes the issue of whether so-called legal dualism was removed, presented by The Civil Code and The Commercial Code. The author documents that the classic business relations and institutes are regulated in the new Civil Code (e.g. company, business papers, commercial representation, business conditions and the others) and their essence remains the same.

AUGUSTÍN, L.: DEBT RELIEF ALIAS PERSONAL BANKRUPTCY
The goal of this paper is briefly to introduce one of the means of resolving insolvency pursuant to Act no. 182/2006 Coll., On Bankruptcy and Its Resolution (Insolvency Act, “IT”). These are called. Debt relief. Debt relief is well known in the wider lay circles as “personal bankruptcy”. This statement is quite misleading because it may evoke negative connotations too debtor position. Conversely, the term debt relief is more precise expression of the debtor attempts to get away from – debt back to an active life with the appropriate quality without psychological burden (ie. No debt). While it is true that the debtor position in society generally does not cause any positive response, the legislature gives the debtor a chance to “reset”. At times it may seem that the position of the debtor in the process of deleveraging is more advantageous than the position of creditors (eg. Institute of liberation, etc.), which is not the best signal sent to the society.

A BILL OF EXCHANGE
Acceptance of a bill of Exchange is a process by which a drawee accepts the bill of exchange usually by signing under the words “accepted” on face of the bill. By this act, the drawee becomes the acceptor and creates an unconditional obligation to pay. Over the years, some contentious issues have arisen in connection with acceptance of bill of exchange especially when an “acceptance” is given by another person than drawee. This paper surveys and analyses the consequences of acceptance through a payee or a third person, as well as “acceptance” given in a promissory note. The author considers issues that arise in this kind of ostensible or superfluous acceptance and ends by suggesting a reasonable approach to the interpretation of “acceptance” in bill of exchange practice.

Payment of a bill of exchange may be guaranteed by an aval as to the whole or part of its amount. This guarantee may be given by a third person or even by a person who has signed as a party to the bill. If the provider of aval has paid for the bill of exchange he acquires rights against the person for whom he has become guarantor (recourse). The author deals with the misconduct of this recourse rights when aval is feigned solely in order to prevent the debtor lodging his objections against the holder. The results from this papers supports the conclusion that the debtor retains all objections without regard to the make-believe aval.

MAZANEC, L.: TO SOME ASPECTS OF SUBSCRIPTION OF SHARES IN PUBLIC OFFERING
This article focuses on the issue of the legal aspects related to the regulation on subscription of shares in initial or secondary public offerings. Firstly, the relevant legal terms will be defined in explained in detail and also the basic overview of the regulation on public offering in the Czech Republic will be provided. The major part of this article analyses the content of provision related to the subscription of shares in the public offering in the Act No. 90/2012 Coll, on Business Corporations. Important aspects related to the processes of capital increases and subscriptions of shares are described in detail, with focus on discrepancies and weak points of the legislation. The special attention is also paid to the institute of the list of subscribers as defined in the Act No. 90/2012 Coll. and especially to the situations, when it complicate some specific capital increase transactions. Finally, regulation relevant for the cases in which a listing on the European regulated market is assessed also.

BOHÁČEK, M.: CERTIFICATION IN PRACTICE WITHIN THE CZECH REPUBLIC AND IN THE NEW EU LAW
The article first deals with guarantee and certification functions of any trademark in general in relation to consumers according many Czech court judgments and their difference from guarantee and certificate marks as such. The paper very briefly shows the difference between guarantee mark and certification mark and also between certification mark used by members of a union and collective mark. Certification marks are protected only in some countries and the article generalized their concepts and stated specifics, basic types of certificate mark and some important examples in the world. It pointed out also some problems in practice – pitfalls of its possible dilution when the mark becomes generally considered symbol of quality, difference from collective mark, and reasons for choice between certificate mark and general individual mark with net of licensing contracts in practice. It also shows possibilities and examples of certification marks used within the Czech Republic even if there are not protected as a special type of trademark and posts up in new legal rules in the EU law – Regulation on EU trademarks (before Community trademarks) and harmonization Directive – both from the end of year 2015 – which must be implemented into the Czech law.
